The name of this corporation is the Carolina Carnivorous Plant Society.
Second
The period of duration of the corporation shall be perpetual.
Third
Notwithstanding any other provisions of these articles, the purposes for which the corporation is organized are exclusively charitable, scientific, and educational within the meaning of section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding provisions of any future United States Internal Revenue law. These purposes are:
a) to promote interest in carnivorous plants native to North Carolina as well as outside of North Carolina; to encourage an appreciation of carnivorous plants and their habitats.
b) to provide North Carolina and the rest of the Southeast with a local carnivorous plant society; to promote community and networking among enthusiasts, conservationists and growers.
c) to concentrate on conservation efforts in the Southeast, especially in the Carolinas.
d) to encourage a scientific attitude in the collection and study of carnivorous plants.
e) to legally collect seeds and plants for cultivation and distribution which will lower the instance of illegal poaching
In line with the community building, educational and conservation oriented goals of the society the corporation reserves the right to utilize all funds, goods, and services, donated or received, to further the afore mentioned goals.
All of the assets and earnings of the corporation shall be used exclusively for charitable, educational, and scientific purposes as herein set forth, including the payment of expenses necessarily incident thereto, and no part of such assets or earnings shall inure to the benefit of any employee, officer or member of the corporation, or of any other individual, except in payment of reasonable compensation for services actually rendered or expenses necessarily incurred.
No substantial part of the activities of the corporation shall be for the carrying on of propaganda or otherwise attempting to influence legislation, unless the corporation shall have made an election pursuant to Section 501(h) of the Internal Revenue Code, or of some subsequent similar provision of the Internal Revenue Code.
The corporation shall not participate in any political campaign whatever on behalf of any candidate for public office.
The corporation is organized to pursue any lawful purposes of a substantial nature which would serve to further the purposes enumerated herein, but only such purposes as would qualify for exempt status under State and federal revenue laws.

The corporation does indemnify any directors, officers, employees, incorporators, and members of the corporation from any liability regarding the corporation and the affairs of the corporation, unless the person fraudulently and intentionally violated the law and/or maliciously conducted acts to damage and/or defraud the corporation, or as otherwise provided under applicable statute.

The purpose of the corporation is exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the internal revenue code, or the corresponding section of any future federal tax code and herein stated as follows: The purpose of the Corporation is to conserve, educate, build community among carnivorous plant enthusiasts, growers and others interested, as well as for scientific purposes; to collect, cultivate and distribute carnivorous plants, poaching, in theory, will reduce and native populations will be conserved for future generations.
Twelfth
No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article 11. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation.
Thirteenth
Upon the dissolution of the corporation, after paying or making provisions for the payment of all the legal liabilities of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine which are organized and operated exclusively for such purposes.
